By accessing and using the DesigXner website (including all subdomains and related properties), you accept and agree to be bound by the terms and provisions of this agreement ("Terms of Service"). If you do not agree to abide by these terms, please do not use this service.
DesigXner grants you a limited, non-exclusive, non-transferable license to view and access the Website for lawful purposes and use our services as described in our Service Agreement.
You agree NOT to:
DesigXner provides web design services (consultation, mockups, development), web development services (coding, testing, deployment), SEO services (strategy, optimization, content), and additional services as outlined in specific project proposals.
All projects follow our defined process: Discovery & Strategy (Weeks 1–2), Design & Planning (Weeks 2–4), Development (Weeks 5–10), and Launch & Support (Weeks 11–12+). Specific timelines depend on project scope and complexity.
You agree to provide necessary information and materials on time, approve deliverables promptly, make timely decisions, fulfill payment obligations, own copyright to your original content, and comply with all applicable laws.
We commit to delivering professional work meeting industry standards, meeting agreed timelines, communicating progress regularly, and maintaining confidentiality of your information.
All quotes are valid for 30 days and based on scope provided. Price changes if scope significantly changes. Additional work not in scope requires a separate quote.
Website Projects: 50% deposit upon signed agreement; 50% upon final delivery (or custom payment plan if agreed).
Monthly SEO Services: Monthly subscription, auto-renewing unless canceled. Payment due within 15 days of invoice.
One-Time Services: 50% upon agreement; 50% upon delivery.
Accepted: credit/debit cards (Visa, Mastercard, Amex), ACH bank transfer, wire transfer, PayPal, and Stripe.
Invoices due within 15 days. Late payments subject to 1.5% monthly interest. After 30 days late, services may be suspended. Collection costs are the client's responsibility.
Deposits are non-refundable except as required by law. Once work begins, no refunds are provided.
Monthly SEO services can be canceled anytime with 30-day notice preferred. Cancellation is effective on the next billing cycle. No refunds for completed work in the current month.
You retain all rights to your original content, company name, logo, branding, and materials you provide. You grant us license to use your content in developing your website and to display finished work as a portfolio example.
Upon full payment, you receive ownership of all custom code developed, final design deliverables, and custom content created. You may not claim we created something you didn't pay for or reuse our proprietary processes without permission.
WordPress themes, plugins, open-source code, and third-party tools remain licensed under their original terms.
We may use finished work as a case study (screenshots, description, results). You can opt-out by requesting in writing.
We warrant that services will be performed professionally, work will comply with stated specifications, code will be tested and functional, and we have the right to provide services.
We do NOT warrant specific sales/lead numbers, specific ranking positions, error-free or uninterrupted service, or compatibility with all devices and browsers. SEO depends on multiple factors beyond our control.
THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
IN NO EVENT SHALL DESIGNXNER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR BUSINESS INTERRUPTION. TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE PAST 12 MONTHS.
You agree to defend, indemnify, and hold harmless DesigXner from any claims, damages, or costs (including attorney fees) resulting from your use of the Website or services, violation of these Terms, violation of any law or rights of third parties, content you provide, or your negligence or misconduct.
Design Revisions: Unlimited during design phase. After design approval, revisions are billable at $150/hour.
Development Revisions: Revisions to meet original specifications are included. Additional features are billed separately at $150/hour.
SEO Services: Strategy and content can be refined monthly; major changes require quarterly review.
Changes outside the original scope require a separate quote and may delay delivery. Client-caused delays (late approvals, missing materials) extend the timeline accordingly. We are not liable for force majeure events including acts of God, natural disasters, government actions, or internet outages.
By Client — Before Work Begins: Refund of deposit.
By Client — During Project: Forfeit deposit, pay for work completed to date.
By DesigXner: We may terminate for non-payment (after 30 days), illegal use, violation of these Terms, or unprofessional conduct. Payment is due for all work completed.
Both parties agree that project details, business information, client lists, and strategy are confidential. Confidentiality obligations continue during engagement and for 5 years after. We may disclose project overviews as portfolio examples with your consent.
Free consultations are 30 minutes maximum and limited to 1 per prospect. Free advice is general in nature, not professional legal or financial advice, and creates no obligation to engage our services.
We strive for 99.9% uptime but are not liable for downtime or third-party hosting issues. The Website may contain links to third-party sites; we don't endorse or control third-party content.
Results from web design and SEO depend on content quality, marketing efforts, audience, competition, and factors beyond our control. We cannot guarantee specific leads, sales, traffic, conversion rates, or keyword rankings. SEO results typically require 3–6 months minimum and vary significantly.
No legitimate SEO company can guarantee first-page rankings. We follow white-hat, ethical SEO practices and provide transparent reporting. Be wary of companies that guarantee specific rankings — these tactics likely violate search engine guidelines.
Before legal action, both parties will attempt informal resolution: send written notice, allow 30 days for response. These Terms are governed by applicable laws. Claims must be brought within 1 year of discovering the issue.
We may update these Terms to reflect law or service changes. We'll post updates on the Website and update the "Last Updated" date. For material changes, we'll provide 30 days' email notice. Continued use constitutes acceptance of updated Terms.
Severability: If any provision is invalid, it is severed; remaining provisions continue.
Entire Agreement: These Terms, plus Privacy Policy, specific Service Agreement, and any signed contract, constitute the entire agreement.
Waiver: Non-enforcement of any right does not waive future enforcement.
Assignment: You may not assign these Terms without written consent. We may assign to successor or affiliated companies.
